You must be at least the age of digital consent in your jurisdiction (13 in the United States, 16 in most EEA countries, or the equivalent local minimum) to use Cheemly without parental, guardian, or institutional consent.

You must provide accurate, current information when you register, keep your credentials confidential, and notify us at security@cheemly.com of any unauthorised access. You are responsible for all activity under your account.

A single account is for a single individual. Sharing an account across multiple persons is a breach of these Terms. Team and institutional use requires the relevant paid arrangement when offered.

Free plans are provided “as is” and may carry lower quotas, feature limits, and abuse-prevention checks. We may modify or discontinue free plans at any time on reasonable notice.

Lab and Lab Pro are paid monthly subscriptions, priced as displayed in the in-product checkout. Prices are stated exclusive of value-added tax, sales tax, or equivalent indirect taxes, which will be added at the rate applicable to your billing region.

Subscriptions renew automatically at the end of each billing period unless cancelled at least one day before the next renewal date. Payment is processed by Stripe at the moment of renewal in your local currency where Stripe supports it.

Each plan includes a rolling weekly model-weighted credit allowance. Credits do not roll over beyond the seven-day rolling window unless explicitly stated in a higher tier. Top-up credit packs, where offered, expire as stated at the time of purchase.

Education discounts (where offered) require verification (e.g. an institutional .edu email). We may revoke the discount if eligibility cannot be verified.

You may cancel future renewals at any time from billing settings (or by emailing support@cheemly.com). Cancellation takes effect at the end of the current paid period; you retain access to paid features until then.

Except where required by law or expressly granted in a specific promotion, fees already paid for the current period are non-refundable once paid features have been used.

EU/EEA and UK consumers: under Directive 2011/83/EU you normally have a 14-day right of withdrawal for distance contracts. By starting to use the paid Service (running chats, generating reports, consuming credits, uploading files for processing) within the 14-day period, you expressly request immediate performance and acknowledge that the right of withdrawal is lost once the Service has been fully performed for that billing period (Art. 16(m) for digital content). You can still cancel future renewals at any time.

You may not use Cheemly to plan or facilitate illegal activity; design, optimise, synthesise, weaponise, or scale up chemical, biological, radiological, nuclear, or explosive weapons; produce or traffic controlled substances unlawfully; bypass chemical-controls or export-controls regimes; cause harmful human, animal, or environmental exposure; or otherwise violate any applicable law.

You may not overload the Service, scrape it, reverse engineer protected parts, resell access, white-label the Service, remove or hide branding, attempt to access another user’s workspace, attempt to subvert quota or billing, or use the Service to develop a competing product.

You may not upload content you do not have the right to use, including third-party proprietary structures, confidential lab notebooks, unauthorised student data, classified material, or material infringing intellectual property or privacy rights.

You agree that we may block, restrict, suspend, or refuse prompts and workflows that, in our reasonable judgement, violate these Terms or pose disproportionate safety, legal, or operational risk. Repeated or serious violations may result in account termination without refund.

Cheemly’s outputs — including reaction routes, retrosynthesis suggestions, IUPAC names, SMILES, predicted spectra, safety drafts, exam questions, study summaries, and references — are assistance, not professional certification.

You must independently verify reaction conditions, hazards, compatibility, quantities, purity assumptions, regulatory requirements, citations, and literature claims before relying on them.

Cheemly must not be used as the sole authority for hazardous synthesis, clinical, environmental, manufacturing, occupational health, or regulated safety decisions. Moll’s friendlier tone does not remove the need for expert review.

You retain ownership of prompts you write, files you upload, projects you save, molecule sketches you draw, and reports you generate (collectively, “User Content”).

You grant Cheemly a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, transmit, parse, embed, render, transform, and display User Content solely to operate the Service for you, perform analytics on aggregate non-identifying patterns, and comply with law.

Cheemly and its licensors own all rights in the Service itself, including the software, design system, brand, Moll mascot, default prompts, evaluation suites, templates, infrastructure, and marketing materials. No rights are granted by implication.

If you submit feedback or feature suggestions, you grant us a perpetual, royalty-free licence to use that feedback to improve the Service without compensation.

We aim for high availability but do not guarantee any specific uptime in the absence of a signed service-level agreement. Maintenance, upstream-provider outages, security events, or unexpected load may cause downtime.

We may change features, limits, supported models, pricing, branding, or geographic availability over time. Material changes to paid plan pricing will be announced at least 30 days in advance via email or in-product notice and will apply at the next renewal.

Features clearly labelled “beta”, “preview”, or “experimental” are provided for evaluation and may change, break, or be removed at any time. They are excluded from any availability commitments and may produce lower-quality output.

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available”. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy of outputs, non-infringement, and uninterrupted operation.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the exclusions apply only to the extent allowed.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, opportunity, goodwill, data, lab time, experiments, procurement value, publication delay, or business interruption — whether or not foreseeable and whether based in contract, tort, or any other theory.

To the maximum extent permitted by law, Cheemly’s aggregate liability arising out of or relating to these Terms or the Service is limited to the greater of (a) the amounts you paid to Cheemly in the 12 months immediately preceding the event giving rise to the claim, or (b) one hundred euros (EUR 100).

Nothing in these Terms limits liability that cannot be limited under applicable law (e.g. liability for gross negligence, wilful misconduct, fraud, or death or personal injury caused by negligence).

You agree to defend, indemnify, and hold harmless Cheemly and its operators, employees, and sub-processors from and against any third-party claim, loss, liability, or expense (including reasonable legal fees) arising from (i) your User Content, (ii) your breach of these Terms or applicable law, or (iii) your misuse of the Service. Cheemly will give prompt notice of any such claim and reasonable cooperation in the defence.

You may close your account at any time from settings or by writing to support@cheemly.com.

We may suspend or terminate access, with or without notice, for material breach of these Terms, suspected fraud, payment failure, abusive behaviour, security risk, or where required by law.

Sections that by their nature should survive termination (e.g. IP, disclaimers, liability, indemnity, governing law, dispute resolution) will survive.

Neither party is liable for delay or failure to perform caused by an event beyond reasonable control, including acts of God, war, civil unrest, terrorism, fire, flood, earthquake, pandemic, governmental action, internet outage, upstream-provider failure, or large-scale cyber-attack.

These Terms are governed by the laws of the Republic of Türkiye, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved by good-faith negotiation will be submitted to the exclusive jurisdiction of the courts and execution offices of Istanbul (Istanbul Çağlayan), Türkiye, unless mandatory consumer-protection law of your habitual residence grants you a different forum.

Nothing in this clause prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual-property rights or confidential information.

We may update these Terms to reflect new features, legal requirements, or business changes. Material changes will be announced at least 30 days in advance via email or in-product notice. Continued use after the effective date constitutes acceptance.

If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any signed order form, constitute the entire agreement between you and Cheemly regarding the Service.
